The pricing of an asset is the result of bid and ask confrontation at a specific time in a liquid market. We do easily understand how complex and sensitive illiquid asset valuation might be.

We know from experience that the valuation of a corporate asset is subject to many bias. Evaluation criteria vary from one expert to the other due to information gaps and subjective perceptions. Moreover legal clauses such as Representations and Warranties or Earn-out tend to impact face value.
